LEGALNAVIGATOR.AI OUTBOUND - CLIENT DATA & CONSENT RESPONSIBILITY AGREEMENT
A Condition of Access to the LN Outbound AI Calling, Texting & Email Service

IMPORTANT — READ CAREFULLY BEFORE SIGNING
This Agreement establishes legally binding obligations regarding data privacy, TCPA compliance, A2P messaging consent, and lead-source responsibility. By signing below, the Client Law Firm assumes full and sole responsibility for ensuring that every individual whose contact information is submitted to the LN Outbound service has provided lawful, prior express written consent to be contacted by automated means.
1. Parties and Effective Date
This LN Outbound Client Data & Consent Responsibility Agreement ("Agreement") is entered into by and between:
Service Provider: Law Leaders Management LLC, d/b/a LegalNavigator.ai, 7882 E Gray Rd., Ste. 3, Scottsdale, AZ 85260 ("LegalNavigator.ai" or "Provider" or "LN Outbound or "LNO")
Client Law Firm: The law firm or legal organization identified by signature below ("Client" or "Law Firm")
This Agreement is effective upon the date of Client's signature below and is incorporated into and made a part of the LegalNavigator.ai Terms of Service, available at https://www.legalnavigator.ai/terms-of-service, as well as the LN Outbound Service description at https://www.legalnavigator.ai/ai-outbound-calling.
2. Description of the LN Outbound Service
The LegalNavigator.ai (“LN” or “LNO”) Outbound service enables Client to automatically initiate personalized AI-driven outbound calls, SMS/text messages, and emails to individuals ("Contacts") based on triggers defined by Client, including but not limited to:

New lead form submissions (speed-to-lead calling)

Missed inbound calls requiring automated callback

Appointment reminders, no-show follow-ups, and consultation confirmations
-
Unsigned retainer or incomplete intake document follow-ups
-
Case milestone and court date reminders
-
Overdue payment reminders
-
Re-engagement of past clients and referral partner outreach
-
Website visitor qualification and on-demand agent-initiated calls
Client acknowledges that the LN Outbound service uses automated telephone dialing systems (ATDS), artificial or prerecorded voice technology, and automated SMS/text messaging platforms, all of which are subject to regulation under the Telephone Consumer Protection Act ("TCPA"), 47 U.S.C. § 227, and its implementing regulations, as well as applicable state laws and wireless carrier A2P (Application-to-Person) messaging requirements.
3. Client Assumption of Full Compliance Responsibility
Client expressly acknowledges and agrees that:
3.1 Client Is the "Sender" and "Caller" Under Applicable Law
For all purposes under the TCPA, FCC regulations, FTC rules, state telemarketing statutes, and wireless carrier A2P messaging requirements, Client is the party initiating the calls, texts, and emails transmitted through the LN Outbound service. LegalNavigator.ai acts solely as a technology platform and service provider. Client assumes all legal responsibility as the sender, caller, and initiator of all outbound communications.
3.2 Client Is Solely Responsible for Contact Data
Client bears sole and exclusive responsibility for the accuracy, legality, and compliance of all contact data submitted to the LN Outbound service. This includes contacts sourced from:

Client's own intake forms, website contact pages, and online advertising lead forms

Third-party lead generation vendors, affiliate networks, and legal referral platforms

Purchased, licensed, or rented contact lists from any source
-
CRM databases, case management platforms, and internal lists
-
Social media advertising lead capture forms (e.g., Facebook Lead Ads, Google Lead Forms)
-
Legal directories, aggregator platforms, and referral partner feeds
-
Any other source by which a Contact's information is provided to the LN Outbound service
Client warrants that, prior to submitting any contact record to the LN Outbound service, it has verified that each Contact on that record has provided valid prior express written consent to be contacted by automated means, as required under applicable law, regardless of the source through which that contact was obtained.
4. TCPA Compliance Requirements
Client acknowledges its independent obligation to comply with the TCPA and all regulations promulgated thereunder. Without limiting the generality of the foregoing, Client specifically represents, warrants, and agrees as follows:
4.1 Prior Express Written Consent
For all calls and texts made using an ATDS or prerecorded/artificial voice to wireless telephone numbers, and for all marketing or solicitation calls/texts to any number, Client shall obtain "prior express written consent" as defined under 47 C.F.R. § 64.1200(f)(9), meaning the Contact must have:

Received a clear and conspicuous disclosure that the Contact will receive autodialed or prerecorded calls and/or text messages from or on behalf of Client

Agreed to receive such communications as a condition evidenced by a written signature (which may be electronic or digital) unambiguously authorizing Client to call or text the Contact's telephone number
-
Provided consent that is not conditioned as a requirement to purchase any good or service
4.2 Consent Language - Direct Intake Forms
For all Contacts obtained through Client's own intake forms, website forms, or digital advertising, Client shall include the following consent disclosure language (or language substantially similar and legally equivalent), with consent collected via an unchecked opt-in checkbox that the Contact must affirmatively select:

By checking this box, I consent to receive calls and text messages from [Law Firm Name], including calls and text messages made using an automatic telephone dialing system or artificial/prerecorded voice, at the phone number I provided regarding my inquiry or potential legal matter.
Message and data rates may apply. Message frequency may vary. Reply STOP to opt out of text messages at any time or HELP for assistance.
Consent is not required to obtain legal services. You may contact the firm directly by phone instead. I also agree to the [Privacy Policy Link] and [Terms of Use Link].
Note: This checkbox must be unchecked by default. Pre-checked boxes do not constitute valid prior express written consent under TCPA.
4.3 Consent Requirements — Third-Party and Purchased Leads
When Contacts are obtained from third-party lead generators, lead aggregators, purchased lists, legal referral networks, or any source other than Client's own direct intake forms, Client represents and warrants that:

The third-party lead source collected valid prior express written consent on behalf of Client (not merely on behalf of the lead generator) prior to the lead being transmitted to Client

The consent language used by the third-party lead source explicitly named Client's law firm, or named a sufficiently defined category of legal service providers such that a reasonable person would understand they were consenting to contact from Client's firm specifically
-
Client has obtained and retains documentation of the consent chain from the third-party source, including the consent language used, the date and time of consent, the originating web page or platform URL, and the IP address or other attribution data where available

Client has a written agreement with each third-party lead source confirming that leads were generated in compliance with the TCPA and applicable state laws

Client understands that, effective January 27, 2025, the FCC's "one-to-one consent" rule requires that TCPA consent obtained through comparison shopping websites and lead generation platforms must specifically identify the seller or caller by name; Client agrees to ensure all lead sources comply with this standard
4.4 Do-Not-Call Compliance
Client shall independently maintain and honor: (a) its own internal Do-Not-Call (DNC) list; (b) the National Do Not Call Registry maintained by the FTC; and (c) any state-level DNC registries applicable to the jurisdictions in which Client operates. Client shall scrub all contact data against applicable DNC lists prior to submission to the LN Outbound service.
4.5 TCPA Time-of-Day Restrictions
Client acknowledges that outbound calls and texts are restricted under TCPA to the hours of 8:00 a.m. to 9:00 p.m. in the Contact's local time zone. Client shall configure LN Outbound triggers and schedules accordingly and shall not initiate outbound contacts outside permissible calling hours.
4.6 Revocation of Consent and Opt-Out Honoring
Client shall maintain processes to promptly honor opt-out and revocation requests received through any channel, including: (a) voice requests to stop calling during a call; (b) reply STOP or equivalent opt-out commands in SMS/text messages; (c) opt-out links or requests received via email; and (d) written or oral requests received through any other means. Client shall update its contact lists and suppress opted-out Contacts from further LN Outbound communications immediately and no later than within the timeframe required by applicable law.
5. A2P 10DLC and SMS Messaging Compliance
Client acknowledges that all Application-to-Person (A2P) SMS and MMS messages transmitted through the LN Outbound service are subject to wireless carrier requirements, including registration under the A2P 10DLC (10-Digit Long Code) framework administered by The Campaign Registry (TCR) and enforced by major U.S. wireless carriers. Client agrees to the following:
5.1 Brand and Campaign Registration
Client acknowledges that LegalNavigator.ai will register Client's messaging campaigns on Client's behalf as part of the LN Outbound setup process, or that Client has independently registered its brand and campaigns through the applicable carrier and TCR channels. Client represents that all information provided for registration is accurate, complete, and truthful.
5.2 A2P Use Case Compliance
Client agrees that all SMS/text messages sent through the LN Outbound service shall comply with the approved use case for Client's registered messaging campaign. Client shall not transmit messages that violate carrier messaging guidelines, including prohibited content categories such as SHAFT (Sex, Hate, Alcohol, Firearms, Tobacco) content or any content that is deceptive, misleading, or harassing.
5.3 Required SMS Disclosures
All initial outbound SMS messages to a Contact shall include: (a) the identity of the sending law firm; (b) the purpose of the message; (c) opt-out instructions ("Reply STOP to opt out"); and (d) help instructions ("Reply HELP for help"). Message frequency disclosures and data rate notices shall be included in the consent language collected at the time of opt-in.
5.4 Client-Specific SMS Number Registration
Client acknowledges that base LN Outbound SMS messages default to disclosures that include reference to LegalNavigator.ai / Law Leaders as required for TCPA compliance under the shared platform. Client acknowledges that to send SMS messages solely under Client's law firm identity without reference to Law Leaders, Client must subscribe to the Client-Specific SMS Texting add-on, which requires a separate A2P registration process that may take up to fourteen (14) business days for carrier approval.
6. Email Communications Compliance
Client acknowledges that all email communications transmitted through the LN Outbound service are subject to the CAN-SPAM Act, 15 U.S.C. §§ 7701-7713, and applicable state email marketing laws. Client agrees to:

Include accurate "From," "To," "Reply-To," and routing information in all emails
-
Use subject lines that accurately reflect the content of the email message
-
Provide a clear, conspicuous, and functioning mechanism for recipients to opt out of future emails
-
Honor opt-out requests within ten (10) business days
-
Include Client's valid physical postal address in all commercial email messages
-
Ensure that all email contact lists reflect contemporaneous consent and do not include Contacts who have previously unsubscribed
7. Lead Source Vendor Responsibility
Client acknowledges and agrees that when third-party lead vendors, legal referral services, aggregators, or other external sources supply contact data that is fed into the LN Outbound service — whether via webhook, API, CRM integration, CSV upload, or any other transmission method — Client assumes full and sole responsibility for the TCPA and A2P compliance of those leads.
Client shall, at minimum:

Vet each lead source prior to enabling automated outbound contacts for leads from that source

Require, in writing, that each lead vendor certifies its consent collection practices comply with TCPA, the FCC's one-to-one consent rule, applicable state laws, and carrier A2P messaging requirements

Retain copies of vendor compliance certifications and consent documentation for a minimum of four (4) years
-
Immediately suspend submission of leads from any source that Client has reason to believe collected consent improperly or in violation of applicable law

Not submit to the LN Outbound service any contact whose consent was collected under language that did not specifically authorize automated calls and texts from Client's law firm or a clearly identified class of legal service providers
Client acknowledges that LegalNavigator.ai has no visibility into the consent practices of Client's lead vendors and cannot independently verify the lawfulness of third-party consent. LegalNavigator.ai's role is limited to executing the outbound contacts as directed by Client.
8. Indemnification and Hold Harmless
Client shall defend, indemnify, and hold harmless LegalNavigator.ai, Law Leaders Management LLC, and their respective officers, directors, employees, agents, successors, and assigns (collectively, "Indemnitees") from and against any and all claims, demands, lawsuits, regulatory actions, penalties, fines, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Any alleged or actual violation of the TCPA, FCC regulations, FTC rules, CAN-SPAM Act, state telemarketing or consumer protection statutes, carrier A2P messaging requirements, or any other applicable law in connection with the LN Outbound service

Any claim by a Contact that they did not consent to receive automated calls, texts, or emails through the LN Outbound service

Any inaccuracy, invalidity, or insufficiency of consent obtained by Client or by any third-party lead source supplying contacts to Client
-
Client's failure to maintain, honor, or process Do-Not-Call registrations or opt-out requests
-
Client's breach of any representation, warranty, or obligation under this Agreement
-
Any use of the LN Outbound service in violation of the LegalNavigator.ai Terms of Service
This indemnification obligation shall survive the termination or expiration of this Agreement and Client's subscription to the LN Outbound service.
9. Recordkeeping and Audit Rights
Client shall maintain complete and accurate records of all consent documentation for each Contact submitted to the LN Outbound service, including the date and time of consent, the specific consent language presented, the platform or form on which consent was collected, and the Contact's affirmative opt-in action. Such records shall be retained for a minimum of four (4) years from the date of collection.
Upon reasonable written notice, Client shall make consent documentation available to LegalNavigator.ai for review in connection with any regulatory inquiry, third-party claim, or audit. LegalNavigator.ai reserves the right to immediately suspend Client's access to the LN Outbound service upon credible evidence of systematic non-compliance with consent requirements.
10. Representations and Warranties
By executing this Agreement, Client represents and warrants that:

Client has full legal authority to enter into this Agreement on behalf of the law firm identified below

All information provided to LegalNavigator.ai in connection with the LN Outbound service, including contact data and registration information, is accurate and complete

Client has reviewed and understands the requirements of the TCPA and applicable state laws governing automated calls, texts, and emails
-
Client has implemented, or will implement prior to activating the LN Outbound service, compliant consent collection practices for all contact sources

Client understands that TCPA violations may result in statutory damages of $500 to $1,500 per violation and that Client assumes sole financial responsibility for such liability
-
Client will promptly update LegalNavigator.ai if any regulatory authority initiates an investigation or proceeding relating to Client's use of the LN Outbound service
11. Acknowledgment of Terms of Service
Client acknowledges that this Agreement supplements and is incorporated into the LegalNavigator.ai Terms of Service (https://www.legalnavigator.ai/terms-of-service). In the event of any conflict between this Agreement and the Terms of Service with respect to Client's compliance and data responsibilities, the terms of this Agreement shall control. Client's obligations under Section 11 (Indemnification) of the Terms of Service are expressly preserved and extended by this Agreement.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in Maricopa County, Arizona, in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
13. Entire Agreement and Amendment
This Agreement, together with the LegalNavigator.ai Terms of Service and any applicable order form, constitutes the entire agreement between the parties with respect to Client's data and consent responsibilities for the LN Outbound service and supersedes all prior negotiations, understandings, and representations on this subject. LegalNavigator.ai may amend this Agreement upon thirty (30) days' written notice to Client. Continued use of the LN Outbound service following notice of amendment constitutes acceptance of the amended terms.
CLIENT AGREEMENT & ACCEPTANCE
BY ORDERING / SIGNING UP FOR THIS SERVICE, CLIENT ACKNOWLEDGES THAT IT HAS READ, UNDERSTANDS, AND AGREES TO BE BOUND BY THIS AGREEMENT IN ITS ENTIRETY, INCLUDING ALL REPRESENTATIONS, WARRANTIES, COMPLIANCE OBLIGATIONS, AND INDEMNIFICATION PROVISIONS SET FORTH HEREIN.
